End-User License Agreement (EULA) for Risk Dashboard app for Jira Cloud
This End-User License Agreement ("EULA") is a legal agreement between you and Hillway Software, governing your use of the Risk Dashboard for Jira Cloud ("Risk Dashboard"). By accessing or using the Risk Dashboard, you agree to be bound by the terms of this EULA.
1. License Grant
Subject to the terms and conditions of this EULA, Hillway Software grants you a limited, non-exclusive, non-transferable license to use the Risk Dashboard solely for your internal business purposes.
2. Restrictions
You may not, directly or indirectly:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying ideas or algorithms of the Risk Dashboard;
- Modify, translate, or create derivative works based on the Risk Dashboard;
- Rent, lease, sublicense, distribute, or otherwise transfer rights to the Risk Dashboard;
- Remove, alter, or obscure any copyright, trademark, or other proprietary rights notice on or in the Risk Dashboard;
- Use the Risk Dashboard for any purpose other than its intended purpose.
3. Ownership
The Risk Dashboard is licensed, not sold, to you. Hillway Software retains all right, title, and interest in and to the Risk Dashboard, including all intellectual property rights therein.
4. Fees
If applicable, you agree to pay all fees associated with your use of the Risk Dashboard as specified by Atlassian.
5. Term and Termination
This EULA shall remain in effect until terminated or until the expiration of your valid subscription/license for the Risk Dashboard. Hillway Software may terminate this EULA immediately upon notice if you breach any term of this EULA or if your subscription/license expires. Upon termination or expiration, you must cease all use of the Risk Dashboard.
6. Disclaimer of Warranty
The Risk Dashboard is provided "as is" without warranty of any kind. Hillway Software disclaims all warranties, express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Support for the Risk Dashboard is provided via the service desk portal during the term of your valid subscription/license. However, Hillway Software cannot guarantee any additional functionality or features beyond what is explicitly outlined in the documentation.
7. Limitation of Liability
In no event shall Hillway Software be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of substitute goods or services; loss of use, data, or profits; or business interruption) arising in any way out of the use of or inability to use the Risk Dashboard, even if advised of the possibility of such damages.
8. Governing Law
This EULA shall be governed by and construed in accordance with the laws of England, excluding its conflict of law principles.
9. Entire Agreement
This EULA constitutes the entire agreement between you and Hillway Software regarding the subject matter hereof, and supersedes all prior or contemporaneous understandings and agreements, whether oral or written.
By using the Risk Dashboard, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions.
